  4. To enter into a contract with INTEGRITY DENTAL FINANCE LLC, you must:

    • Be a licensed dental practice, practitioner, or authorized representative.
    • Be at least 18 years of age or legally authorized to enter into binding contracts.
    • Provide accurate, current, and complete information when engaging with our services.
  5. Client Responsibilities
  6. By using our services, you agree to:

    1. Provide Accurate Information – Supply all necessary patient, insurance, and billing data in a timely and accurate manner.
    2. Maintain Compliance – Ensure your practice complies with all applicable healthcare, insurance, and financial regulations.
    3. Payment of Fees – Pay all agreed-upon service fees on time, as outlined in the contract.
    4. Secure Access – Protect login credentials, accounts, or shared access points to prevent unauthorized use.
    5. Communication – Respond to requests for information or documentation promptly to avoid delays in claims processing or billing.

    Failure to meet these responsibilities may impact service outcomes and limit eligibility for refunds (see Refund Policy).

    • Providing professional, accurate, and timely billing and financial management services.
    • Maintaining compliance with HIPAA and applicable financial regulations.
    • Protecting client and patient data with strict confidentiality and security measures.

  9. Service Limitations
  10. While we strive for accuracy and efficiency, you acknowledge and agree that:

    • Insurance claim approvals are ultimately determined by insurance carriers and are beyond our control.
    • We are not responsible for delays, denials, or rejections caused by third parties (e.g., insurance companies, government agencies).
    • Service results may vary depending on the completeness and accuracy of the information you provide.
  11. Fees and Payments
    1. Payment Terms – Fees for services will be outlined in the signed service agreement. Payments must be made by the due date specified on invoices.
    2. Late Payments – Late or missed payments may result in service suspension, late fees, or contract termination.
    3. Taxes – Clients are responsible for any applicable taxes, fees, or surcharges.
    4. Non-Refundable Fees – Setup fees, consultation fees, and completed work fees are non-refundable (see Refund Policy).
  12. Cancellations and Termination
    1. Client-Initiated Termination – You may terminate services by providing written notice in accordance with the terms of your service agreement. Refunds, if applicable, will be handled as outlined in our Refund Policy.
    2. Company-Initiated Termination –We reserve the right to suspend or terminate services if you breach these Terms, fail to pay fees, or engage in fraudulent or unlawful activity.
    3. Effect of Termination – Upon termination, all outstanding fees remain due, and access to services will be revoked.

  14. We treat all client and patient information as strictly confidential. We comply with HIPAA regulations and implement security safeguards to protect sensitive data.

    Clients agree not to disclose or misuse proprietary information, methodologies, or materials shared by the Company during the course of the relationship.

  15. Intellectual Property
  16. All materials, documentation, templates, training resources, reports, or tools provided by INTEGRITY DENTAL FINANCE LLC remain our exclusive intellectual property.

    • Clients may use these materials only for their own practice’s operations.
    • Redistribution, resale, or unauthorized sharing of our materials is strictly prohibited.
  17. Data Protection

  19. Limitation of Liability

  21. Indemnification
  22. You agree to indemnify, defend, and hold harmless INTEGRITY DENTAL FINANCE LLC, its officers, employees, and affiliates from any claims, damages, liabilities, costs, or expenses arising from:
